Chapter Ten. Penalties

Section 1001. Penalties Imposed Upon Corporations

Each corporation, domestic or foreign, that fails or refuses to file its annual report for any year within the time prescribed by this Act shall be subject to a penalty of ten percent of the amount of the franchise tax assessed against it for the period beginning July 1 of the year in which such report should have been filed. Such penalty shall be assessed by the Secretary at the time of the assessment of the franchise tax. If the amount of the franchise tax as originally assessed against such corporation be thereafter adjusted in accordance with the provisions of this Act, the amount of the penalty shall be likewise adjusted to ten percent of the amount of the adjusted franchise tax. The amount of the franchise tax and the amount of the penalty shall be separately stated in any notice to the corporation with respect thereto. If the franchise tax assessed in accordance with the provisions of this Act shall not be paid on or before the thirty-first day of July, it shall be deemed to be delinquent, and there shall be added a penalty of two percent for each month or part month of August. Each corporation, domestic or foreign, that fails or refuses to answer truthfully and fully within the time prescribed by this Act, any interrogatories propounded by the Secretary in accordance with the provisions of this Act, shall be deemed guilty of an offense and upon conviction thereof may be fined for each such refusal in any amount not exceeding five hundred dollars ($500.00).

Section 1002. Penalties Imposed Upon Officers and Directors

(a) Each officer and director of a corporation, domestic or foreign, who fails or refuses within the time prescribed by this Act to answer truthfully and fully interrogatories propounded to him by the Secretary in accordance with the provisions of this Act, or who signs any articles, statement, report, application, or other document filed with the Secretary which is known to such officer or director to be false in any material respect, shall be deemed to be guilty of a offense and upon conviction thereof may be fined in any amount not exceeding five hundred dollars ($500.00) and imprisoned for a term of six months in the tribal jail or both.

(b) Any person described in subsection (a) of this section who is not personally subject to the criminal jurisdiction of the tribal court shall be deemed to have created a public nuisance and on judgment thereof, shall be liable for a civil penalty in an amount not exceeding five hundred dollars ($500.00).

(c) The fines and penalties imposed by subsections (a) and (b) of this section shall be personal and not subject to indemnification by the corporation.
